Terms of Service

These Terms of Service ("Terms") govern access to and use of TierAce ("TierAce", "we", "us", or "our"), including the website and application located at this domain (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

TierAce is an independent organisation-management tool. It is provided to help individuals and teams record, structure, and view organisational and placement information they choose to enter. TierAce is not affiliated with, endorsed by, sponsored by, or connected to any network marketing, direct selling, or multi-level marketing company. Any company, plan, or compensation names a user enters into the Service are entered solely at that user's discretion, and their use does not imply any relationship between TierAce and that company.

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly at support@tierace.com if you suspect unauthorised use of your account.

New accounts receive a 3-day free trial with full access to the Service, with no payment method required to begin the trial. At the end of the trial period, continued access requires an active paid subscription. We may change the length or terms of the free trial for new signups at any time.

We currently offer the following subscription plans, billed in US dollars:

• Monthly plan — USD $9.95, billed every month.
• Yearly plan — USD $95.00, billed every 12 months. (Save 20% versus paying monthly.)

Subscriptions are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). We do not receive or store your full payment card details — these are handled directly by Stripe in accordance with its own terms and privacy policy. Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date. You can view your billing history, update your payment method, or cancel your subscription at any time from the billing portal within your account settings, which is also provided via Stripe.

If a payment fails, we may retry the charge and/or suspend access to the Service until payment succeeds or the subscription is cancelled. Prices may change with reasonable advance notice to existing subscribers.

Because every new account includes a 3-day free trial to evaluate the Service before paying, purchases are generally treated as final and non-refundable once a billing period has begun. We may, at our sole discretion, provide a full or partial refund on a case-by-case basis — for example, where a technical fault on our part materially prevented use of the Service. You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period, and you retain access until then. Once a trial ends or a subscription lapses without renewal, access to the Service is suspended until a subscription is reactivated. We do not delete your data solely because access is suspended; see our Privacy Policy for data retention details.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Upload data you do not have the right to store or share;
• Attempt to gain unauthorised access to the Service, other accounts, or underlying systems;
• Interfere with or disrupt the integrity or performance of the Service;
• Use the Service to harass, defame, or misrepresent affiliation with any third party or company.

We may suspend or terminate accounts that breach this section.

You retain ownership of the data you enter into the Service. How we collect, use, and protect that data is described in our Privacy Policy, which forms part of these Terms.

The Service, including its software, design, and branding, is owned by us or our licensors and is protected by intellectual property laws. These Terms do not grant you any right to use our branding except as necessary to use the Service as intended.

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, TierAce and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. Nothing in these Terms excludes or limits any consumer guarantee or other right that cannot lawfully be excluded or limited, including under the Australian Consumer Law.

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you materially breach these Terms, including for non-payment, and we will make reasonable efforts to notify you first where practical.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify active subscribers (for example, by email or an in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Australia, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Australia, except where local consumer protection law requires otherwise.
